MEMBER TERMS AND CONDITIONS

Couth Sports, LLC (“Couth Sports,” “we,” “our,” or “us”) is committed to supporting our members through our mission to provide education, leadership development, and resources to professional, collegiate, and high school athletes. The following terms and conditions govern the Couth Sports (i) website located at www.couthsports.com and all associated web pages, websites, and social media pages (the “Site”) provided by Couth Sports and its subsidiaries and affiliates, (ii) mobile applications, (iii) online services (including the Site, the “Services”), and (iv) Membership and the benefits available. These member terms and conditions (“Member Terms & Conditions,” or “Agreement”) are made between Couth Sports, a Florida limited liability company, and users of the Services (“Member,” “You,” or “Your”).

Couth Sports may indicate that different or additional terms, conditions, guidelines, policies, or rules apply to some of our Services (“Supplemental Terms”). Any Supplemental Terms become part of your agreement with us if you use the applicable Services.

We may make changes to these Terms. The “Last Updated” date below indicates when these Terms were last changed. If we make future changes, we may provide you with notice of such changes, such as by sending an email, providing a notice through our Services, or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must immediately stop using our Services.

ELIGIBILITY AND USE RESTRICTIONS: You may only use our Services in jurisdictions authorized by Couth Sports. Our Services and content may not be available in all territories and jurisdictions, and we may restrict or prohibit the use of all or a portion of our Services in certain jurisdictions and territories.

Age: Users under 16 years of age may only use our Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The parent or legal guardian of a user under the age of 16 is fully responsible for the acts or omissions of such user in relation to our Services. If you are a parent or legal guardian and you believe that your child under the age of 16 is using our Services without your consent, please contact us at info@couthsports.com.

USER CONTENT: Our Services may allow you and other users to create, post, store, share, and interact with content, including, but not limited to, reviews, messages, text, images, photos, videos, and other information and materials (collectively, “User Content”). When you post or otherwise share User Content on or through our Services, you understand that your User Content and any associated information may be visible to others. If you choose to make any of your information publicly available through the Services, you do so at your own risk.

Except for the license you grant below, as between you and Couth Sports, you retain all rights in and to your User Content, excluding any portion of the Services included in your User Content. You grant Couth Sports and its subsidiaries and affiliates a perpetual, irrevocable, nonexclusive, transferable, royalty-free, worldwide, fully paid, and sublicensable (through multiple tiers) license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, store, distribute, publicly or otherwise perform and display, and exploit your User Content and any name, username, or likeness provided in connection with your User Content in all media formats and channels now known or later developed, without compensation to you or any third party. You hereby irrevocably waive any “moral rights” or other rights with respect to attribution of authorship or integrity of materials regarding User Content that you may have under any applicable law or under any legal theory.

PROHIBITED CONTENT: You will not use our Services if you are not eligible to use our Services in accordance with Section 2 and will not use our Services other than for their intended purpose. Further, you will not, in connection with our Services:

  • Violate any applicable law, contract, intellectual property right, or other third-party right;

  • Engage in any harassing, threatening, intimidating, or predatory conduct;

  • Impersonate any person or entity or misrepresent your affiliation with a person or entity;

  • Copy, reproduce, distribute, publicly perform, or publicly display all or portions of our Services, except as expressly permitted;

  • Modify our Services, remove proprietary rights notices, or create derivative works based upon our Services;

  • Use our Services in any manner that interferes with, disrupts, or negatively affects other users;

  • Reverse engineer any aspect of our Services;

  • Send, distribute, or post spam, unsolicited commercial electronic communications, chain letters, or pyramid schemes;

  • Use our Services for any illegal or unauthorized purpose.

OWNERSHIP/LICENSE: Unless otherwise noted, all materials shared through Couth Sports membership and on the Couth Sports website, including text, graphics, images, videos, and other content, are the copyrighted property of Couth Sports or our licensors. Subject to compliance with these Terms, Couth Sports grants you a royalty-free, revocable, non-exclusive, non-assignable, and non-transferable limited license to access and use our Services for your permitted use.

GOVERNING LAW: This Agreement and all rights and obligations of the parties will be governed by and construed in accordance with the internal laws of the State of Florida, without giving effect to any conflicts of law rules that would cause the application of the laws of any other jurisdiction. Any dispute arising out of this Agreement may be resolved by arbitration held in Florida in accordance with the Rules of the American Arbitration Association.

SEVERABILITY: If any portion of these Terms is found to be unenforceable, the unenforceable portion will be severed, and the remainder of the Terms will remain in full force and effect.
